Overview
These Terms of Service ("Terms") govern access to and use of TellSpotAI, including our websites, dashboards, public Spot pages, QR-linked pages, AI chat features, account tools, subscription or credit services where available, support channels, and related products and services. APIs are covered only where we expressly make them available.
These Terms form a binding agreement between TellSpotAI ("TellSpotAI," "we," "us," or "our") and the person or entity accessing or using the service ("Customer," "you," or "your"). By creating an account, accessing TellSpotAI, publishing or using a Spot, subscribing to a plan, uploading content, or otherwise using the service, you agree to these Terms.
If you use TellSpotAI on behalf of a company, organization, public entity, venue, merchant, agency, or other entity, you represent that you have authority to bind that entity. In that case, "you" and "your" refer to that entity.
1. Definitions
- Account: a registered TellSpotAI account.
- AI Output: any text, answer, message, suggestion, summary, classification, or other output generated by or through TellSpotAI.
- Customer Contact Methods: phone numbers, email addresses, WhatsApp or messaging links, websites, booking links, social media links, physical addresses, or other contact details submitted, configured, or approved by a Customer for display in or through a Spot or chat experience.
- Customer Content: content, data, files, text, instructions, prompts, business information, knowledge base material, Spot settings, Customer Contact Methods, messages, branding, or other material submitted, uploaded, configured, or provided by you or your authorized users.
- End User: any person who accesses or interacts with a public Spot, QR page, chat interface, link, or AI response made available by a Customer through TellSpotAI.
- Knowledge Base: Customer Content used to configure, guide, retrieve, or generate AI responses for a Spot.
- Plan: a free, trial, paid, promotional, or custom service package.
- Spot: a public or private TellSpotAI experience, page, QR-linked interface, chatbot, knowledge base, or AI-powered information point created through the service.
- Subscription: a recurring or time-limited paid Plan, when paid billing is enabled.
- Usage Credits: credits, quota, message limits, response limits, or similar usage units made available under a Plan.
2. The Service
TellSpotAI provides tools that allow Customers to create AI-powered information Spots, public chat experiences, knowledge bases, QR-linked pages, contact method displays, and related service interfaces. The service is designed for informational assistance based on Customer-approved content and platform configuration.
TellSpotAI does not provide professional, regulated, emergency, medical, legal, financial, insurance, employment, educational, government, or safety-critical services. You must not use TellSpotAI as a substitute for qualified professional judgment or as the sole basis for decisions affecting rights, safety, health, finances, legal status, employment, education, insurance, housing, credit, public benefits, or access to essential services.
We may update, modify, suspend, improve, limit, or discontinue parts of the service at any time, subject to applicable law and any written agreement we have with you.
3. Eligibility
You may use TellSpotAI only if you are legally able to enter into a binding agreement, are at least 18 years old or the age of legal majority in your jurisdiction, are not prohibited from using the service under applicable law, are not subject to sanctions that prohibit use of the service, and will use the service in compliance with these Terms and applicable law.
TellSpotAI is not intended for children. You must not create Spots directed to children or knowingly collect children's personal information through TellSpotAI unless expressly permitted by law and by a separate written agreement with us.
4. Accounts and Administration
You must provide accurate and complete information when creating or maintaining an Account. You are responsible for maintaining the confidentiality of login credentials, all activity under your Account, authorized users, roles, permissions, billing settings, Spot configuration, uploaded content, access controls, Customer Contact Methods, and End User interactions.
Actions taken by your administrators or authorized users are deemed actions taken by you. TellSpotAI is not responsible for loss or damage caused by your failure to manage internal access, user permissions, passwords, devices, or administrative controls.
We may refuse registration, suspend access, or terminate Accounts where we reasonably believe that information is inaccurate, misleading, unlawful, abusive, or creates risk to TellSpotAI, Customers, End Users, or third parties.
5. Customer Content and Contact Methods
You retain ownership of your Customer Content. You grant TellSpotAI a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, display, retrieve, analyze, transform, and use Customer Content as necessary to provide and operate the service, generate AI Output, maintain and secure the platform, provide support, enforce these Terms, comply with law, and improve service reliability, safety, and functionality.
You represent and warrant that you own or have the necessary rights to submit and use Customer Content and Customer Contact Methods; that they do not violate any law, contract, privacy right, intellectual property right, publicity right, confidentiality obligation, or third-party right; and that they are accurate enough for the purpose for which you use them.
Customer Contact Methods may be displayed publicly to End Users when a Spot is published. You are solely responsible for the accuracy, authority, security, and legality of any phone number, email address, messaging link, social media link, website, address, booking link, or other contact method you add. You must not add contact details that impersonate another person or organization, route users to scams or phishing pages, misrepresent your identity, or violate platform rules or applicable law.
TellSpotAI does not guarantee that Customer Contact Methods are owned by the Customer, available, secure, correct, monitored, or appropriate for any particular End User. Communications, payments, bookings, or transactions occurring outside TellSpotAI are between the Customer, End User, and any relevant third-party service.
6. AI Output and Customer Responsibility
AI Output may be inaccurate, incomplete, outdated, offensive, misleading, or unsuitable for a particular purpose. You are responsible for reviewing, testing, validating, and approving how AI Output is used in your business and with End Users.
You must not represent that AI Output is guaranteed, error-free, professional advice, human-reviewed, legally binding, medically approved, financially reliable, or suitable for high-risk decisions unless you have independently verified it and are legally authorized to make that representation.
AI Output may display or refer to Customer Content, including Customer Contact Methods, based on the configuration and Knowledge Base you provide. You are responsible for keeping that information current and lawful.
TellSpotAI may provide Customers with operational analytics such as missing information, grouped topics, contact requests, unanswered signals, usage counts, and date-range reports. These analytics are informational tools only and may be incomplete, delayed, grouped, or approximate. Customers remain responsible for reviewing responses, updating approved knowledge, verifying contact methods, and deciding whether and how to use analytics.
7. End Users and Public Spots
If you make a Spot available to End Users, you are responsible for providing appropriate notices and disclosures, explaining when responses are AI-generated where required, providing your own privacy notice where required, obtaining required consents, responding to End User requests and complaints, maintaining the accuracy of your Knowledge Base, and preventing prohibited or high-risk use.
You must not use TellSpotAI to misrepresent your identity, business, authority, qualifications, services, prices, policies, availability, legal obligations, or contact methods.
8. Acceptable Use
Your use of TellSpotAI must comply with our Acceptable Use Policy, which is incorporated into these Terms. You must not use TellSpotAI, and must not allow others to use TellSpotAI, for unlawful, deceptive, abusive, infringing, high-risk, exploitative, security-compromising, or policy-violating activity.
We may suspend, restrict, remove, or terminate access to Accounts, Spots, Customer Content, Customer Contact Methods, or features if we reasonably believe they violate these Terms, the Acceptable Use Policy, applicable law, or create risk to TellSpotAI, Customers, End Users, or third parties.
9. Privacy and Data Protection
Your use of TellSpotAI is subject to our Privacy Policy. Where TellSpotAI processes personal information as a processor or service provider on your behalf, the applicable Data Processing Addendum or other written data processing terms govern that processing.
You are responsible for determining whether personal information submitted to TellSpotAI may lawfully be collected, uploaded, transferred, processed, retained, disclosed, and used. You must not submit sensitive personal information unless processing is expressly permitted, legally authorized, and covered by appropriate safeguards and written terms.
10. Security
We use reasonable technical and organizational measures designed to protect the service and Customer Content. You are responsible for maintaining security within your own systems, devices, networks, accounts, users, passwords, API keys, integrations, contact channels, and administrative controls.
You must promptly notify us at [email protected] if you become aware of unauthorized access, credential compromise, security weakness, data exposure, fraudulent contact methods, or misuse involving TellSpotAI.
11. Third-Party Services
TellSpotAI may rely on third-party providers, including hosting providers, database providers, storage providers, email providers, AI model providers, payment providers when enabled, analytics providers, monitoring providers, and security providers. Customer Contact Methods may also route End Users to third-party websites, communication platforms, social networks, booking tools, payment tools, or customer-controlled services.
We are not responsible for third-party services, third-party content, third-party outages, third-party model behavior, third-party policy changes, or third-party processing outside our reasonable control.
12. Plans, Usage Credits, and Limits
TellSpotAI may offer free, trial, paid, promotional, or custom Plans. Plans may include Usage Credits, response limits, storage limits, Spot limits, feature limits, user limits, rate limits, or other restrictions. The Plan details shown on the pricing page, checkout page, order form, invoice, receipt, or account billing page control over any general description in these Terms.
Unless a different price, currency, tax treatment, promotional offer, or custom order form is shown at checkout or agreed in writing, the public paid Plans are: Starter at USD 10 per billing period with 250 Usage Credits and 1 Spot; Growth at USD 30 per billing period with 850 Usage Credits and up to 5 Spots; and Business at USD 90 per billing period with 3,000 Usage Credits and up to 25 Spots.
Usage Credits are usage allowances only. They have no cash value, are not legal tender, property, stored value, deposit, gift card balance, or prepaid money, and may not be transferred, resold, exchanged, redeemed for money, or used outside TellSpotAI.
Usage Credits may expire according to the Plan, billing period, promotion, trial, order form, or credit grant under which they were issued. Trial, promotional, bonus, or courtesy Credits may have shorter validity periods and may be withdrawn or adjusted if issued in error, abused, or associated with fraud or policy violations.
If a Plan renews, refreshes, or grants additional Usage Credits before previously issued Credits expire, the unused older Credits remain available until their original expiration date. New Credits do not extend, revive, cash out, or replace older Credits. TellSpotAI may consume Credits with the earliest expiration date first.
Where enabled for a paid Plan, TellSpotAI may automatically refresh or renew Usage Credits when the billing period renews or when the active remaining Credits are less than or equal to 5% of the Plan allowance. Early credit refresh does not cancel the original expiration date of any older unused Credits.
Usage Credits may be deducted when AI responses, Spot setup assistant replies, owner previews, RAG tests, retrieval actions, preparation actions, or other chargeable events occur. Unless a Plan states otherwise, a successful displayed AI-generated answer deducts 1 Usage Credit. Cached responses, provider failures, blocked requests, and non-displayed fallback messages are not intended to deduct Credits unless expressly stated in the applicable Plan or order form.
Usage limits may be enforced automatically. If you exceed, exhaust, or lose access to the Usage Credits, Spots, storage, features, or limits included in your Plan, TellSpotAI may block new AI responses, prevent additional Spots, restrict publishing, suspend public availability, require an upgrade, or require renewal before service continues.
13. Fees, Billing, Taxes, Renewals, and Cancellation
Paid billing features may be available only when paid Plans are enabled for your account or region. If you purchase a paid Plan, you agree to pay all applicable fees, taxes, and charges shown at checkout, in an order form, on an invoice, or in your account billing page. Payments may be processed by third-party payment processors, payment facilitators, or merchant-of-record providers, and additional payment, buyer, privacy, refund, invoice, tax, or checkout terms presented during checkout or in a receipt may apply to the transaction.
By completing a paid transaction or starting a paid Subscription, you authorize TellSpotAI and its payment providers to charge the payment method you provide for the applicable fees, taxes, renewals, upgrades, add-ons, and other charges associated with your Plan. You are responsible for providing accurate billing information, maintaining a valid payment method, keeping your billing email current, and ensuring billing emails and receipts are not blocked by your systems or spam filters.
Subscriptions renew automatically unless cancelled before the renewal date. The renewal period is normally equal to the expiring subscription period unless the checkout page, order form, invoice, or account billing page states otherwise. Recurring charges may be charged on or after the renewal date. Where enabled and disclosed for a paid Plan, a renewal or credit refresh may occur earlier when remaining active Usage Credits are less than or equal to 5% of the Plan allowance.
Cancellation stops future renewals and normally takes effect at the end of the current billing period. Cancellation does not automatically refund fees already paid, unused time, unused Usage Credits, expired Usage Credits, unused Spot capacity, storage capacity, features, or partial billing periods unless required by law or expressly stated in writing. You may cancel through available account billing tools, a subscription management link in your billing email or receipt, or by contacting [email protected].
If a payment fails, is reversed, is disputed, expires, is refused, or cannot be authorized, TellSpotAI or its payment providers may retry the payment, request updated billing information, suspend or restrict access, stop public Spot answers, prevent additional Spots, downgrade or cancel the Plan, or terminate access. You remain responsible for amounts lawfully due up to the effective date of cancellation or termination.
Unless required by applicable law or expressly stated in writing, all fees, renewals, add-ons, Usage Credits, and transactions are non-refundable and non-exchangeable. We do not provide refunds for used Credits, expired Credits, unused Credits, partial periods, account inactivity, failure to cancel before renewal, unused features, unused Spot capacity, or Customer Content configuration choices.
If mandatory consumer law gives you a withdrawal, cancellation, refund, or other non-waivable right, that right applies despite these Terms. Where permitted by law, your right to withdraw from or receive a refund for digital services or digital content may be limited or lost after you request immediate access to the service, start using the service, publish a Spot, consume Credits, or otherwise benefit from the paid Plan.
If TellSpotAI materially fails to provide the paid service you purchased due to a technical issue within our reasonable control and the issue cannot be corrected within a reasonable time, we may provide a correction, replacement access, service credit, partial refund, or refund as required by applicable law or as we determine appropriate. Refund requests may be declined where there is evidence of fraud, abuse, policy violation, chargeback abuse, excessive use, or manipulation of payment or refund processes.
Taxes, duties, bank fees, currency conversion fees, card fees, payment provider fees, and similar charges may apply depending on your location, payment method, and transaction. Amounts shown at checkout or on an invoice may include or exclude taxes depending on the checkout configuration and applicable law. You are responsible for any taxes or charges that are not collected at checkout but are legally due from you.
Before raising a payment dispute or chargeback, please contact [email protected] so we can try to resolve the issue. If we reasonably believe a dispute, chargeback, refund request, or payment reversal is fraudulent, abusive, or inconsistent with actual service delivery, we may suspend or restrict access while the matter is reviewed and may provide transaction, access, usage, and delivery records to the relevant payment provider, bank, card network, authority, or dispute process.

14. Support
We may provide support through email, help pages, account tools, or other channels. Support availability, response times, and scope may vary by Plan. For general help, account issues, technical support, privacy requests, abuse reports, or security concerns, contact [email protected].
We are not obligated to provide custom development, legal review, content moderation, business consulting, professional advice, data cleanup, manual configuration, or emergency support unless expressly agreed in writing.
15. Service Availability
We aim to provide a reliable service, but we do not guarantee uninterrupted, error-free, secure, or always-available operation. The service may be unavailable, delayed, limited, or degraded due to maintenance, updates, third-party provider issues, network failures, security incidents, abuse prevention, force majeure events, legal or regulatory requirements, capacity limits, or system errors.
16. Intellectual Property and Feedback
All content, branding, software, interfaces, source code, designs, documentation, and materials provided by TellSpotAI are owned by TellSpotAI or its licensors and are protected by applicable intellectual property laws. Customers and visitors may not copy, reproduce, modify, distribute, reverse engineer, decompile, sell, lease, exploit, or create derivative works from TellSpotAI materials except as expressly permitted by these Terms or applicable law.
If you provide feedback, suggestions, ideas, bug reports, feature requests, or recommendations, you grant TellSpotAI a perpetual, irrevocable, worldwide, royalty-free right to use, modify, commercialize, and incorporate that feedback without restriction or compensation.
17. Copyright and Infringement
You must not upload or use content that infringes intellectual property rights. If you believe content on TellSpotAI infringes your rights, contact [email protected] with your name and contact information, a description of the protected work, the URL or location of the allegedly infringing content, a statement explaining why you believe the use is unauthorized, any supporting evidence, and your physical or electronic signature.
18. Suspension, Termination, and Account Deletion
We may suspend, limit, remove, or terminate your access to TellSpotAI if you violate these Terms or applicable law; fail to pay amounts due; create security, legal, reputational, operational, or financial risk; engage in fraud, abuse, spam, unauthorized access, or misleading contact methods; submit violating Customer Content; or where required by law, court order, regulator, payment provider, infrastructure provider, or government authority.
You may stop using TellSpotAI at any time and may request or initiate account deletion through available account tools or support channels. Account deletion disables access and may unpublish or disable public Spots, QR-linked pages, Customer Contact Methods, and related public content. Some information may be retained where required or permitted for billing, tax, accounting, fraud prevention, security, legal compliance, dispute resolution, backup cycles, or legitimate operational needs, as described in the Privacy Policy.
You are responsible for exporting Customer Content before deletion, cancellation, suspension, or termination where export functionality is available. We are not responsible for loss of Customer Content after termination, cancellation, expiry, suspension, deletion, or failure to maintain an active Plan, except as required by law.
19. Disclaimers
To the maximum extent permitted by law, TellSpotAI is provided "as is" and "as available." We disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, reliability, and uninterrupted operation.
We do not warrant that the service will meet your requirements, be uninterrupted or error-free, produce accurate or lawful AI Output, keep Customer Content free from loss or corruption, or be suitable for regulated or high-risk use.
20. Limitation of Liability
To the maximum extent permitted by law, TellSpotAI and its owners, officers, directors, employees, contractors, affiliates, licensors, suppliers, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, including lost profits, lost revenue, lost business, lost goodwill, lost data, service interruption, replacement costs, reputational harm, losses arising from reliance on AI Output, or losses arising from Customer-provided contact methods or third-party communications.
TellSpotAI is provided as a subscription and/or usage-credit service. Fees, subscriptions, usage credits, unused time, unused credits, expired credits, trial credits, promotional credits, and account inactivity are not refundable or compensable except where expressly stated in these Terms or required by applicable law.
To the maximum extent permitted by law, TellSpotAI's total aggregate liability for all claims relating to the service or these Terms will not exceed the amount actually paid by you to TellSpotAI for the affected service during the billing period in which the event giving rise to the claim occurred. If no amount was paid for the affected service, including during a free trial, promotional period, or free plan, TellSpotAI will have no monetary liability to the maximum extent permitted by law. Nothing in these Terms limits liability that cannot be limited under applicable law.
21. Indemnification
You agree to defend, indemnify, and hold harmless TellSpotAI and its owners, officers, directors, employees, contractors, affiliates, licensors, suppliers, and service providers from and against claims, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising from or related to your use of TellSpotAI, Customer Content, Customer Contact Methods, AI Output used or distributed by you, your products or services, your End User interactions, your violation of law or third-party rights, your failure to provide required notices, consents, or legal bases, your use in regulated or high-risk contexts, or disputes between you and End Users.
22. Consumer Rights
Nothing in these Terms limits rights that cannot be waived under applicable consumer protection law. If you are using TellSpotAI as a consumer, some provisions may not apply to you to the extent prohibited by law. If you are using TellSpotAI for business, professional, commercial, or organizational purposes, consumer-specific rights apply only where mandatory law requires them.
23. Export Controls, Sanctions, and Anti-Corruption
You must comply with all applicable export control, sanctions, trade, and anti-corruption laws. You must not use TellSpotAI in or for the benefit of any country, person, organization, or entity subject to applicable sanctions or trade restrictions, or to develop, support, or facilitate prohibited military, surveillance, weapons, cyber-abuse, or unlawful activities.
24. Changes to These Terms
We may update these Terms from time to time. If changes are material, we may provide notice by email, website notice, account notification, or other reasonable means. Updated Terms become effective on the date stated in the updated version, unless otherwise required by law. Your continued use after the effective date means you accept the updated Terms.
25. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Kingdom of Saudi Arabia, without regard to conflict-of-law rules, unless a written agreement states otherwise or mandatory law requires otherwise.
Before filing a claim, you agree to contact us and attempt to resolve the dispute informally. If the dispute is not resolved within 30 days after written notice, the courts of Riyadh, Kingdom of Saudi Arabia, will have exclusive jurisdiction, unless mandatory law requires another venue. Either party may seek urgent injunctive or equitable relief in any competent court to protect intellectual property, confidential information, security, data, or service integrity.
26. General Terms
TellSpotAI will not be liable for delay or failure to perform caused by events beyond our reasonable control. You may not assign these Terms or your Account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, change of control, operation of law, or transfer of business. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. These Terms do not create a partnership, joint venture, employment, franchise, agency, fiduciary, or exclusive relationship.
27. Order of Precedence and Entire Agreement
These Terms, together with the Privacy Policy, Acceptable Use Policy, Cookie Policy, any applicable Data Processing Addendum, Subprocessors page, Order Form, Plan terms, and any additional written terms incorporated by reference, form the entire agreement between you and TellSpotAI regarding the service. If there is a conflict, a signed written agreement controls, followed by the Data Processing Addendum for data processing matters, these Terms, the Acceptable Use Policy, the Privacy Policy, and operational help materials.
